Haiti - Business : Draft decree establishing the Individual Enterprise with Limited Liability (EIRL)

On Tuesday, 24th, the Ministry of Trade and Industry (MCI), through the Legal Affairs Department, organized a presentation and discussion workshop at the Kinam Hotel on the preliminary draft decree establishing the Individual Enterprise with Limited Liability (EIRL) and the overhaul of corporate law.

Themed "Modernizing the Legal Framework for Business" this workshop brought together legal professionals, private sector stakeholders, and institutional partners to collaborate and enrich the text before its adoption.

In his speech, James Monazard, the Minister of Trade and Industry (MCI), praised the commitment of the Legal Affairs Department, headed by Charles Danovale, for its rigorous work and strategic vision aimed at adapting business law to current economic realities. He noted that this legal reform has been in the works for some time within the Ministry. In October 2024, a first step was taken with the presentation of the inventory of legal instruments and the priority legislative agenda related to trade and investment in Haiti.

According to the Minister, "With this preliminary draft decree on the limited liability sole proprietorship and the overhaul of corporate law, the Ministry intends to make business legislation clearer, more accessible, more efficient, and better geared toward the country's economic development."

For his part, Charles Danovale, Director of Legal Affairs, emphasized that this initiative aims to attract more investment to Haiti. He noted that this project builds on several reforms already undertaken by the Ministry of Commerce, including the protection of industrial property, the revision of the Commercial Code, and the improvement of the business climate, adding, "The return to this reform is crucial for Haitian commercial law. We are adopting concrete measures to facilitate trade, both internally and externally."

A panel discussion was then led by several renowned speakers, including Me Bernard Gousse, Me Jean Frédérick Sales, and Me Chantale Hudicourt. They shared their expertise on the preliminary draft decree, with the shared goal of modernizing the legal framework for business in Haiti.
